PODIATECH COMMERCIAL TERMS AND CONDITIONS OF SALE
for the e-podiatech.com e-commerce website from 1 April 2021

ARTICLE 1: SCOPE OF APPLICATION

This document (General Terms and Conditions of Sale) defines the conditions applicable to sales concluded between, on the one hand, persons placing orders via the e-podiatech.com website, http://www.e-podiatech.com, hereinafter referred to as "the Customer" and on the other hand the company SIDAS SAS - PA Champfeuillet EST - 18 Rue Léon Béridot - CS 70353 - 38516 VOIRON CEDEX France, with share capital of €600,000, whose registered office is located at PA Champfeuillet EST - 18 rue Léon Béridot - CS70353 - 38516 VOIRON CEDEX France, registered in the Grenoble Trade and Companies Register under number 304 577 661 000 73, hereinafter referred to as "e-podiatech.com". These conditions apply exclusively to professionals.

The general terms and conditions of sale applicable are those in force on the day the order is validated, and constitute the contract between the customer and e-podiatech.com. The Customer declares that they have full legal capacity to enter into this contract.

ARTICLE 2: PRODUCTS

When the customer places an order, the products for sale are deemed to be available in stock. If the product is unavailable when the order is being prepared, it will be back-ordered for subsequent dispatch at our expense. A notice will be added to the delivery note stating that the delivery is incomplete.

ARTICLE 3: PRICES

All prices are quoted in Euros € and are exclusive of all taxes and delivery charges.
All prices are deemed not to be binding in the case of obvious typographical errors. In the event of disputes, please refer to the sale prices in the price lists that are valid on the date the order is confirmed.

ARTICLE 4: ORDER CONFIRMATION

By signing an order form by "double-clicking", the Customer is deemed to have irrevocably accepted it in a form that cannot be challenged. The "double click" combined with the authentication and non-repudiation procedure and the protection of message integrity constitutes an electronic signature. This electronic signature has the same value between the parties as a handwritten signature (French law of 13 March 2000 on electronic signatures).

When the Customer places an order, any error on their part in the wording of the contact details of the recipient or their own contact details cannot give rise to any liability on the part of e-podiatech.com with regard to the delivery/invoicing of the ordered products.

Sales are reserved for customers in France and French overseas departments and territories.

Any product order implies unreserved acceptance by the purchaser of these conditions, which shall prevail over any other document from the purchaser, and in particular over any general terms and conditions of purchase, unless expressly agreed otherwise in advance by our company.

The photos, technical specifications, dimensions and prices shown on the pages of our e-podiatech.com website are given for information only, are not binding, and may be subject to change without notice.

The format, colour and other technical data of sheet materials and elements may vary from one production run to another (tolerance + or - 30%). The price of the sheets may therefore be revised according to the formats delivered.

All photos and illustrations are the intellectual property of Sidas. Unauthorised reproduction is prohibited.

As far as possible, orders for materials and consumables received by our sales department before 11 am are processed and dispatched the same day.
Except in exceptional circumstances, orders for Europe are shipped within 48 or 72 hours depending on the destination. For equipment orders, please contact us.

Delivery areas in Europe : Austria, Belgium, Cyprus, Croatia, Estonia, Finland, Germany, Greece, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Portugal, Slovakia and Slovenia.

ARTICLE 6: PAYMENT FOR ORDERS

Equipment: deposit payable at time of ordering (10%) and balance on delivery.

Other: 45 days end of month on the 15th, i.e. 45 days after the end of the billing month.

Orders placed on e-podiatech.com can be paid for by cheque made payable to SIDAS, by bank transfer or by bank card.

Cheques should be sent by post to PODIATECH - PA CHAMPFEUILLET EST - 18 RUE LEON BERIDOT - CS 70353 - 38516 VOIRON CEDEX France together with the order number and your customer code.

* The discount rate applies to the following products:

Glues, solvents, double-sided adhesives, Velcro, ok net, paper towels (products on page 30 of the 2018-2019 catalogue)
Release agents (cementing resin, latex, ks1, imprint boxes, eco 10, stretch film, polyester wadding, PU cups)
Prestoform Ultimate consumables, materials for fitting and reproduction, LYCRA TEPS, sueded TEPS, Diateps, Extensouple carbon, toe ends, (pages 35 to 37 of the 2018-2019 catalogue)
'specific' and 'essential' sheet and roll materials, all OPCTs (excluding the ACCESS range)
foam or resin base modules, stimulators, BCIs, latex sheets, adhesive-coated bases, latex, foam or resin elements, anti-static kit, pre-formed bases with arch, pre-formed heel wedge elements (page 99 2018-2019 catalogue)
TREATMENT consumables (sterilisation tests, sterilisation sleeves, self-adhesive closure sterilisation bags, blades, handles, nail clippers, scissors, burs, protectors, dressings, examination sheets, gloves, masks, non-invasive medical devices, disinfection and hygiene, small appliances and creams).

* The discount applies to items placed in a single order. No additions may be made to the initial order for the purpose of the discount rate, unless the initial order has not yet been prepared.

*The discount does not apply to accessories, the ACCESS OPCT range, ACCESS sheet materials, ACCESS rolls and ACCESS products, tins of PU resin, casting boxes, heating (page 99 of the 2018-2019 catalogue), machines, analysis tools, rotary instrumentation, treatments outside the surgery, surgery treatment equipment, complementary furniture, peripherals, sterilisation, soaking tanks, Ionomat®, photopolymerisation lamp, Cryopen® and communication and information tools (p 196 of the 2018-2019 catalogue).

The discount rate does not apply to the above products, but their cost excluding VAT is taken into account when calculating the discount rate.

ARTICLE 8: PROTECTION OF PERSONAL DATA - PROVISIONS OF THE FRENCH DATA PROTECTION ACT.

The data collected is intended solely for the use of e-podiatech.com. It is necessary for the processing and management of customer orders and for commercial relations between e-podiatech.com and the customer. It also enables e-podiatech.com to provide the customer with personalised services and to improve the relevance of the information offered.
In accordance with the French Data Protection Act of 6 January 1978, the Customer has the right to access, modify, rectify and delete data concerning them (Article 34 of the French Data Protection Act of 6 January 1978). Customers can change their contact details at any time by clicking on the My Account link.

Delivery times: these are given as a guide. No delay may give rise to a claim for damages against us.

Guarantee: we guarantee the buyer against any fault or latent defect. Items found to be faulty will be repaired or replaced free of charge. No goods may be returned without our prior authorisation and other than carriage paid and refundable.

Jurisdiction clause: This contract is governed exclusively by French law. In the event of a dispute, the purchaser acknowledges that the only competent courts, whatever the nature of the dispute, are the courts within the jurisdiction of the registered office of SIDAS.

Article 9: CUSTOMER'S ACCEPTANCE

These general terms and conditions of sale and the prices are expressly accepted by the Customer, who acknowledges having read them, and thereby waives the right to rely on any contradictory document and, in particular, their own general terms and conditions of purchase, as the act of purchasing implies acceptance of these general terms and conditions of sale. Our database has been declared to the CNIL under number 1736978 v 0 in order to protect your data. We undertake not to sell, rent, lend or give away your personal information.
These conditions may be modified at any time without prior notice.

ARTICLE 11: PODIATECH GENERAL TERMS AND CONDITIONS OF SALE (extracts) France and Belgium

Acceptance of orders: all orders are executed in accordance with the general terms and conditions of sale set out below, unless expressly waived in writing. Our company is only bound by an order once it has been sent and in accordance with the terms of our order confirmation.

Prices: unless otherwise stated, the prices stated on our proposals, price lists and confirmations are subject to revision at any time up to dispatch. Our deliveries are invoiced at the price in force at the time of delivery.

Conditions: our prices are for delivery made to a single place, with a single invoice, and a single payment and in the usual packaging.

Shipping: the buyer is responsible for raising any issues with the carrier in the event of loss or damage. If the goods delivered are damaged or items are missing, it is the buyer's responsibility to raise all the necessary issues with the carrier on receipt of the goods (comment on the carrier's delivery note indicating that the package is damaged or open, that goods are missing or damaged, or that the unpacking and installation service ordered has not been carried out). Confirmation by registered letter with acknowledgement of receipt, within 3 days of receipt must be sent to the carrier, in accordance with Article l. 133-3 of the French Commercial Code, with a copy to be sent simultaneously to our company. Failing this, all products will be deemed to have been accepted by the customer.

All our goods travel at the recipient's risk, even when they are sent carriage paid.

Complaints: no complaints will be accepted unless submitted (by registered letter with acknowledgement of receipt) within 5 days from the date of receipt of the goods by the buyer.

Payment: it is formally stipulated that the recipient of the goods undertakes to pay our invoices and remains our sole obligor. Payments by agents, central purchasing services, groups and, in general, by third parties do not constitute an exception to this clause, even if payment of our invoices has been made by them. Invoices are payable net according to the methods and deadlines stipulated. Any payment made before the due date shown on the invoice will benefit from a 0.2% discount. In the event of payment with a discount, only the VAT corresponding to the price actually paid is deductible.

We reserve the right to request a deposit at the time the order is placed. Payments are made to our head office. In the event of non-payment or late payment, fees and late payment penalties will be charged without the need for a reminder at the rate of 1.50% per nominal month of our invoices and from their due date. In addition, a fixed indemnity for debt collection costs of 40 euros is automatically payable if the sums due are paid after the agreed payment date.

Penalty clause: any legal proceedings will result in the application of damages of 15% on the amount of the monies owed to us at the date of the proceedings.

Payment irregularities: in the event of non-payment of any of our invoices for any reason whatsoever, we shall be entitled to suspend all deliveries or to demand payment before dispatch.

Returns of goods: returns will only be considered with the agreement of our company. For any damaged product or packaging, a discount of 30 to 50% will be applied depending on the product.

Reservation of ownership: by express agreement, the goods shall remain the property of our company until full payment of the price. In the case of payment in instalments, the transfer of ownership to the buyer only takes place after the last instalment has been paid. The purchaser is obliged to insure, at their own expense and against all risks, the goods on their premises and that are subject to reservation of ownership. The seller may request proof of this insurance. At any time, our company may ask the customer to send it a statement of goods in progress or appoint an employee (e.g. sales representative) or a bailiff to draw up an inventory, either systematically and periodically or on first request.
